A U.S. district court judge issued the preliminary injunction to restrain Richardson-Vicks from issuing the super-voting preferred stock dividend declared in response to Unilever’s tender offer. District Judge Richard Owen held that issuance of the preferred stock would violate Delaware law, stating, among other things, that the preferred stock “strips shareholders of the ability to transfer voting rights without prior warning.”
